Thank you for your interest in the products and services provided by Goldshell Wallet, including but not limited to, the products, services, applications, APIs or third-party applications relying on such APIs, online shop services, official website(https://wallet.goldshell.com/) or any other websites, pages, features, or content related to Goldshell Wallet provided by the device ,firmware and the companion application (collectively, the “Goldshell Wallet”). This Goldshell Wallet Terms of Use (the “Terms”) is an agreement between you/user and the owner of Goldshell Wallet，INTCHAINS PTE.LTD.as well as its affiliates (collectively, “Goldshell”,“we”, “us” or “our”), regarding your use of the Goldshell Wallet. It is legally binding on you and Goldshell. Please read the following terms and conditions carefully.
In addition to the Terms, you acknowledge and agree to also comply with other relevant policies, terms and rules (including their amendments from time to time) that have been or may be issued from time to time by Goldshell including but not limited to the following:
- Goldshell Wallet Privacy Policy: When you use the Goldshell Wallet, you shall be aware of and be bound by the Goldshell Wallet Privacy Policy published on the Goldshell Wallet app and Goldshell websites (https://wallet.goldshell.com/).
- User Manual: You should always follow the detailed User Manual available on our website (https://wallet.goldshell.com/). Please be aware that in the package with your device we may include only an abbreviated version of the User Manual to navigate you to our website and to help you with the initial steps of your device initialization.
- Goldshell Sales Channel’s terms and policies: We use Goldshell’s online shop (https://www.goldshell.com/shop/) or offline distributors to sell the Goldshell Wallet. When you purchase our Goldshell Wallet, you need to comply with the relevant agreements of the sales channels, including but not limited to the User Agreement (https://www.goldshell.com/user-en/), Privacy Policy (https://www.goldshell.com/privacy-en/),Order Terms (https://www.goldshell.com/order-terms/), Insurance Terms (https://www.goldshell.com/insurance-terms/) of the online shop published on Goldshell official website, and the General Terms and Conditions which apply to offline Distributors.
- After-sales Terms: When you own a Goldshell Wallet device, you need to comply with the After-Sales Terms (https://www.goldshell.com/after-sales-terms/) published on the Goldshell official website, in order to enjoy the after-sales services.
- Cookie Policies: When you visit the Goldshell wallet website (https://wallet.goldshell.com/) and Goldshell official website (https://www.goldshell.com/), or any subdomains thereof, you should pay attention to the relevant Cookie Policies. If you do not agree with the Cookie Policies, it may affect your user experience.
By clicking “I Agree” or by accessing the Goldshell Wallet (including the websites or applications associated with Goldshell Wallet) or using any or all of the product and services, you agree to be bound by these Terms and the abovementioned policies. If you don’t agree to be bound by these Terms and the abovementioned policies, you may not access or use the Goldshell Wallet (including the websites or applications associated with Goldshell Wallet) .
Product & Services of Goldshell Wallet
Goldshell Wallet device is a security hardware that may be used (among other things) for managing cryptocurrencies and private key. Goldshell Wallet APP is the companion application of the device through which you can set up and access your device and manage, receive, and send your cryptocurrencies. Using Goldshell Wallet is straightforward, but it is essential to always follow the Terms and the User Manual to reduce the risk of losing your protected information and cryptocurrency assets.
The Goldshell Wallet operates strictly as a non-custodial service, which means we only protect your private keys, and your assets remain on the blockchain; Goldshell does not directly or indirectly hold any user assets and does not at any time have direct or indirect custody of your cryptocurrency assets. The Goldshell Wallet cannot initiate any sending or receiving of cryptocurrencies. Any cryptocurrency transfer occurs on the relevant blockchain networks chosen by the you, and not on any blockchain network owned or controlled by Goldshell. Thus Goldshell does not control or manage any such transaction.
If you make an error during a transaction (such as entering the wrong transfer address or amount), Goldshell cannot cancel the transaction and will not be responsible for any resulting loss or liability suffered by you.
Based on blockchain public rules, using Goldshell Wallet for cryptocurrency transactions may necessitate or result in the payment of “gas fees” or “network fees.” The amount of these fees is determined solely by activities of the user and is collected by the relevant blockchain network. Goldshell is not the recipient of these fees and does not profit from them. You agree and acknowledge that in certain circumstances (including but not limited to insufficient “gas fees” or “network fees” paid by the user during a transaction, or instability within the relevant blockchain network), your transaction attempt might fail and may not be completed. In such cases, even if your transaction is not completed, the user will potentially still be charged “miner fees” or “network fees” by the relevant blockchain network. Goldshell shall not be responsible for any resulting loss or liability suffered by you as a result of the transaction not being completed.
YOU ACKNOWLEDGE AND AGREE THAT GOLDDSHELL DOES NOT HAVE ACCESS TO OR STORE PASSWORDS (INCLUDING BUT NOT LIMITED TO “PINS”, “FINGERPRINTS” OR “UNLOCK PASSWORDS”), RECOVERY PHRASES (“MNEMONICS”, “SEEDS”, “SEED WORDS” OR “SEED PHRASE”), PRIVATE KEYS, PASSPHRASES, OR OTHER CREDENTIALS ASSOCIATED WITH YOUR USE OF THE GOLDSHELL WALLET. AS WE DO NOT HAVE ACCESS TO THE AFOREMENTIONED CREDENTIALS, WE ARE UNABLE TO ASSIST WITH RETRIEVING YOUR AFOREMENTIONED CREDENTIALS. YOU ARE SOLELY RESPONSIBLE FOR REMEMBERING, STORING, BACKING UP AND KEEPING YOUR CREDENTIALS IN A SECURE LOCATION. ANY THIRD PARTY WITH KNOWLEDGE OF YOUR CREDENTIALS SUCH AS YOUR RECOVERY PHRASES, PASSPHRASES OR PASSWORDS CAN GAIN CONTROL OF THE PRIVATE KEYS ASSOCIATED WITH YOUR CRYPTOCURRENCIES. IF YOU LOSE THE GOLDSHELL WALLET DEVICE, DELETE THE UNBACKED WALLET OR THE CREDENTIALS, HAVE YOUR GOLDSHELL WALLET OR CREDENTIALS STOLEN, OR FORGET THE PASSWORD, RECOVERY PHRASE, PASSPHRASE OR PRIVATE KEY OR OTHER CREDENTIALS, GOLDSHELL CANNOT RESTORE YOUR RESEPECTIVE WALLET OR RETRIEVE THE PASSWORD, RECOVERY PHRASE, PASSPHREASE,PRIVATE KEY OR OTHER CREDENTIALS. GOLDSHELL SHALL NOT BE RESPONSIBLE FOR ANY RESULTING LOSS OR LIABILITY SUFFERED BY YOU AS A RESULT OF THE AFOREMENTIONED EVENTS.
WE STRONGLY ADVISE AND REMIND YOU TO KEEP YOUR CREDENTIALS SAFE. WHEN YOU SETUP YOUR GOLDDSHELL WALLET, YOU MUST: (A) CREATE AND REMEMBER A STRONG PASSWORD THAT YOU DO NOT USE FOR ANY OTHER SERVICE; (B) PROTECT AND KEEP YOUR RECOVERY PHRASE AND PASSPHRASE SECURE AND CONFIDENTIAL; (C) PROTECT ACCESS TO YOUR GOLDDSHELL WALLET.
User Declarations and Commitments
You are permitted to use the Goldshell Wallet only if you comply with all the following criteria:
- You have the capacity to enter into and be bound by these Terms and any other document related thereto;
- In case of a natural person, you are of the age of full legal capacity in your jurisdiction and reside in a jurisdiction in which you are legally permitted to access and use the Goldshell Wallet and Goldshell is legally permitted to offer or sell the Goldshell Wallet;
- In case of a company or corporation, it is duly established and operates in a jurisdiction in which it is legally permitted to access and use the Goldshell Wallet and Goldshell is legally permitted to offer or sell the Goldshell Wallet;
- If you are accessing the Goldshell Wallet on behalf of any entity, organization, company, or personnel, you represent and warrant that you have the authority to bind that organization or individual to the Terms and you agree to be bound by the Terms on behalf of that organization;
- Your access to the Goldshell Wallet is in compliance with all applicable laws and regulations;
- Your financial status allows you to accept the risks relating to cryptocurrency;
- You do not use / intend to use the Goldshell Wallet for anything that is unlawful, malicious or that could disable, overburden, or impair the proper working of the Goldshell Wallet or which may be harmful to others or which may damage our reputation or otherwise pose any threat to us or which is in breach of all applicable laws and regulations (including but not limited to any applicable sanctions or AML/CFT regulations);
- You comply with the Terms and other applicable Goldshell policies (including any individual agreements entered into between you and Goldshell) as well as all applicable laws and regulations including but not limited to any applicable sanctions or AML/CFT regulations).
By using the Goldshell Wallet, you agree not to：
- Access the Goldshell Wallet for any illegal purpose or in violation of any applicable laws and regulations (including but not limited to any applicable sanctions or AML/CFT regulations);
- Conduct activities that may be harmful to others or that could damage Goldshell‘s reputation or otherwise pose any threat to Goldshell ;
- Interfere with security-related features of the Goldshell Wallet, such as reverse engineering or otherwise attempting to discover the source code of any portion of the Goldshell Wallet except to the extent that the activity is expressly permitted by applicable law;
- Interfere with the operation of the Goldshell Wallet, including by: (a) uploading or otherwise disseminating any virus, adware, spyware, worm, or other malicious code; (b) interfering with or disrupting any network, equipment, or server connected to or used to provide the Site, or violating any regulation, policy, or procedure of any such network, equipment, or server;
- Bypass any security or other features of the Goldshell Wallet designed to control the manner in which the Goldshell Wallet is used;
- Infringe on the intellectual property rights in the Goldshell Wallet which are owned or licensed by Goldshell;
- Access the Goldshell Wallet in any manner to harass, abuse, stalk, threaten, defame or otherwise infringe or violate the rights of any other party.
LIMITATION OF LIABILITY & DISCLAIMER OF WARRANTIES
YOU UNDERSTAND AND AGREE THAT WE HAVE NO CONTROL NOR DUTY TO TAKE ANY ACTION REGARDING: FAILURES, DISRUPTIONS, ERRORS, OR DELAYS IN PROCESSING CRYPTOCURRENCIES THAT YOU MAY EXPERIENCE WHILE USING THE GOLDSHELL WALLET; THE RISK OF FAILURE OF HARDWARE, SOFTWARE, AND INTERNET CONNECTIONS; THE RISK OF MALICIOUS SOFTWARE BEING INTRODUCED OR FOUND IN THE SOFTWARE UNDERLYING THE GOLDSHELL WALLET; THE RISK THAT THIRD PARTIES MAY OBTAIN UNAUTHORIZED ACCESS TO INFORMATION STORED WITHIN THE GOLDSHELL WALLET, INCLUDING, BUT NOT LIMITED TO YOUR CRYPTOCURRENCY ADDRESS, PRIVATE KEY, RECOVERY PHRASE AND PASSPHRASE; AND THE RISK OF UNKNOWN VULNERABILITIES IN OR UNANTICIPATED CHANGES TO THE BLOCKCHAIN NETWORKS.
WE MAKE NO REPRESENTATIONS CONCERNING ANY THIRD PARTY CONTENT CONTAINED IN OR ACCESSED THROUGH THE GOLDSHELL WALLET, OR WEBSITE. ANY OTHER TERMS, CONDITIONS, WARRANTIES, OR REPRESENTATIONS ASSOCIATED WITH SUCH CONTENT, ARE SOLELY BETWEEN YOU AND SUCH ORGANIZATIONS AND/OR INDIVIDUALS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES WILL WE OR ANY OF OUR AFFILIATES, OFFICERS, DIRECTORS, REPRESENTATIVES, AGENTS, SERVANTS, COUNSEL, EMPLOYEES, CONSULTANTS, LAWYERS, AND OTHER PERSONNEL AUTHORIZED TO ACT, ACTING, OR PURPORTING TO ACT ON OUR BEHALF, BE LIABLE TO YOU UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, OR ANY OTHER LEGAL OR EQUITABLE THEORY FOR ANY LOSS, DAMAGES, CLAIMS OR LIABILITY (INCLUDING ANY LOST PROFITS, DATA LOSS, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, COMPENSATORY, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER) RESULTING FROM:
- YOUR USE OF, OR CONDUCT IN CONNECTION WITH, ANY OF OUR PRODUCTS OR SERVICES (INCLUDING THE GOLDSHELL WALLET);
- ANY UNAUTHORIZED USE OR ACCESS OF YOUR WALLET ADDRESS, PRIVATE KEY, RECOVERY PHRASE, PASSPHRASE, PASSWORD AND/OR OTHER CREDENTIALS BY A THIRD PARTY DUE TO YOUR FAILURE TO MAINTAIN THE CONFIDENTIALITY AND SECURITY OF YOUR WALLET OR OTHERWISE;
- FORGOTTEN PASSWORDS OR OTHER CREDENTIALS, INCORRECTLY CONSTRUCTED TRANSACTIONS, OR MISTYPED CRYPTOCURRENCY ADDRESSES OR SUCH OTHER MISHANDLING OF THE WALLET CAUSED BY A LACK OF UNDERSTANDING OF BLOCKCHAIN TECHNOLOGY OR OTHERWISE;
- ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES;
- ANY SERVER FAILURE OR DATA LOSS IN RELATION TO YOUR USE OF THE WALLET, INCLUDING BUT NOT LIMITED TO ANY DAMAGE OR LOSS SUFFERED AS A RESULT OF RELIANCE ON THE GOLDSHELL WALLET OR GOLDSHELL TO STORE THE CREDENTIALS;
- ANY UNAUTHORIZED THIRD PARTY ACTIVITIES, INCLUDING, BUT NOT LIMITED TO, THE USE OF VIRUSES, PHISHING, BRUTE FORCING, OR OTHER MEANS OF ATTACK AGAINST THE GOLDSHELL WALLET; OR
- ANY BUGS, VIRUSES, TROJAN HORSES, ERRORS OR THE LIKE THAT ARE FOUND IN THE GOLDSHELL WALLET OR THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY (REGARDLESS OF THE SOURCE OF ORIGINATION)
FOR THE AVOIDANCE OF DOUBT, GOLDSHELL SHALL NOT BE LIABLE FOR ANY LOSS OF REVENUE, LOSS OF ACTUAL OR ANTICIPATED PROFITS, LOSS OF CONTRACTS, LOSS OF THE USE OF MONEY, LOSS OF ANTICIPATED SAVINGS, LOSS OF BUSINESS, LOSS OF OPPORTUNITY, LOSS OF GOODWILL, LOSS OF REPUTATION ,LOSS OF, DAMAGE TO OR CORRUPTION OF DATA OR ANY INDIRECT OR CONSEQUENTIAL LOSS IN EACH CASE HOWSOEVER ARISING, WHETHER SUCH LOSS OR DAMAGE WAS FORESEEABLE OR IN THE CONTEMPLATION OF THE PARTIES AND WHETHER ARISING IN OR CAUSED BY BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY OR OTHERWISE
LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU HEREBY AGREE AND ACKNOWLEDGE THAT GOLDSHELL’S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE TERMS SHALL IN NO CIRCUMSTANCES EXCEED THE FEES PAID BY YOU TO GOLDSHELL FOR THE GOLDSHELL.
THESE LIMITATIONS APPLY REGARDLESS OF LEGAL THEORY, WHETHER BASED ON TORT, STRICT LIABILITY, BREACH OF CONTRACT, BREACH OF WARRANTY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, RELATING TO THE SERVICES AND UNDERLYING SOFTWARE OR ANY CONTENT ON THE SERVICES, WHETHER PROVIDED OR OWNED BY US OR BY ANY THIRD PARTY, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, FREEDOM FROM COMPUTER VIRUS, AND ANY IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE IN TRADE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. TRANSACTIONS IN CRYPTOCURRENCY EVENTS, INCLUDING BUT NOT LIMITED TO HOLDING CRYPTO ASSETS, EXCHANGES, AIRDROPS, FORKS, AND GAINS ARISING FROM STAKING, MAY BE CONSIDERED TAX EVENTS ACCORDING TO THE LEGISLATIONS UNDER WHICH YOU ARE SUBJECT TO TAXATION. THESE RULES MAY BE UNCLEAR OR SUBJECT TO CHANGE. GOLDSHELL AND ALL OTHER COMPANIES MENTIONED IN RELATION TO THE GOLDSHELL WALLET WILL NOT BE RESPONSIBLE FOR THE CONSEQUENCES OF RELIANCE UPON ANY OPINION OR STATEMENT CONTAINED HEREIN OR FOR ANY OMISSION.
YOU ARE AWARE OF AND UNDERSTAND ALL THE RISKS INVOLVED IN BUYING, SELLING, AND EXCHANGING CRYPTOCURRENCIES. YOU ACKNOLEDGE THAT THE VALUE OF CRYPTOCURRENCIES CAN BE EXTREMELY VOLATILE, AND THEIR EXCHANGE RATES AGAINST OTHER CRYPTOCURRENCIES OR FIAT CURRENCIES CAN EXPERIENCE SIGNIFICANT FLUCTUATIONS, POTENTIALLY LEADING TO A SHARP DECLINE IN THE VALUE OF YOUR CRYPTOCURRENCY HOLDINGS. BEFORE ENGAGING IN CRYPTO-RELATED ACTIVITIES, YOU SHOULD FULLY UNDERSTAND THE LEVEL OF RISKS INVOLVED. ANY LOSS OF DATA, CRYPTOCURRENCIES, OR PROFITS WILL BE BORNE SOLELY BY YOU. YOU HEREBY AGREE THAT GOLDSHELL SHALL NOT BE LIABLE FOR ANY LOSSES OR LIABILITY SUFFERED BY YOU ARISING FROM THE AFOREMENTIONED RISKS.
THE DECISION TO USE GOLDSHELL WALLET IS ENTIRELY YOUR OWN DECISION, AND AS SUCH, YOU ASSUME ALL RISKS AND POTENTIAL LOSSES. GOLDSHELL WALLET ONLY PROVIDES SOFTWARE AND HARDWARE TOOLS FOR YOU TO USE OR HANDLE BLOCKCHAIN DATA, WITHOUT OFFERING ANY GUARANTEES OR CONDITIONS FOR ANY USER AND/OR ANY TRANSACTION, WHETHER EXPLICIT, IMPLICIT, OR STATUTORY. GOLDSHELL CANNOT AND DOES NOT ATTEMPT TO CONTROL THE INFORMATION POSTED BY YOU OR ANY TRANSACTION PARTY, NOR DOES GOLDSHELL TAKE ANY FORM OF CERTIFICATION OR VERIFICATION OF SUCH INFORMATION. YOU ARE SOLELY RESPONSIBLE FOR ENSURING THE ACCURACY OF ALL INFORMATION SUBMITTED IN TRANSACTIONS. YOU SHOULD ALWAYS VERIFY ALL TRANSACTION INFORMATION BEFORE SUBMITTING IT. YOU SHOULD RELY ON YOUR INDEPENDENT JUDGMENT WHEN CONDUCTING TRANSACTIONS, AND YOU BEAR FULL RESPONSIBILITY FOR THE JUDGMENTS YOU MAKE. YOU HEREBY AGREE THAT GOLDSHELL SHALL NOT BE LIABLE FOR ANY LOSSES OR LIABILITY SUFFERED BY YOU ARISING FROM THE AFOREMENTIONED RISKS.
WHEN TRANSFERRING BLOCKCHAIN ASSETS USING GOLDSHELL TOOLS, IF ANY ABNORMAL INFORMATION APPEARS SUCH AS ‘TRANSACTION FAILURE’ OR ‘PACKAGING TIMEOUT,’ YOU SHOULD RECONFIRM USING RELEVANT BLOCKCHAIN NETWORK CHANNELS OR OTHER BLOCKCHAIN QUERY TOOLS TO AVOID REPEATED TRANSACTIONS; OTHERWISE, ANY ENSUING LOSSES AND FEES SHALL BE BORNE BY YOU AND YOU HEREBY AGREE THAT GOLDSHELL SHALL NOT BE LIABLE FOR ANY SUCH LOSSES OR FEES.
YOU MUST SAFELY BACK UP YOUR PASSWORD, PRIVATE KEY, RECOVERY PHRASE, PASSPHRASE, ETC., WHEN CREATING OR IMPORTING YOUR WALLET. IF YOU DO NOT SAVE OR SECURELY BACK UP YOUR PASSWORD, PRIVATE KEY, RECOVERY PHASE, PASSPHREASE ETC., AND LOSE ACCESS TO YOUR DEVICE, YOUR CRYPTOCURRENCY ASSETS COULD BE LOST, AND GOLDSHELL WILL NOT BE ABLE TO RETRIEVE THEM FOR YOU. ANY AND ALL LOSSES ARISING FROM SUCH SITUATIONS SHALL BE BORNE SOLELY BY YOU AND YOU HEREBY AGREE THAT GOLDSHELL SHALL NOT BE LIABLE FOR ANY SUCH LOSSES.
There may be additional risks that we have not foreseen or identified in this section and these Terms. Before you use the Goldshell Wallet, you are strongly encouraged to carefully assess whether your financial situation and risk tolerance is compatible with such use.
Ownership & Proprietary Rights
The Goldshell Wallet is owned and operated by Goldshell. The visual interfaces, graphics, design, compilation, information, data, computer code (including source code or object code), products, software, services, and all other elements of the Goldshell Wallet (“Materials”) provided by Goldshell are protected by intellectual property and other laws. All intellectual property rights residing in the Goldshell Wallet, including the Materials, are the property of Goldshell and you acquire no rights or license in or to such intellectual property rights, other than those expressly granted under the Terms.
Except as expressly provided in the Terms, no part of the Goldshell Wallet (including the websites and applications associated with the Goldshell Wallet, including the content contained in such websites and applications) may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, downloaded, published, changed, merged, decom-posed, pasted, decompiled or distributed in any way (including “mirroring”) to any other computer, server, website or other medium for publication or distribution or for any commercial purpose, without our express prior written consent.
Indemnity
You will indemnify and hold harmless Goldshell and its affiliates, officers, directors, representatives, servants, counsel, employees, consultants, agents, lawyers and other personnel from and against any actions, claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with: (a) your access to, use of, or alleged use of, the Goldshell Wallet; (b) your violation of any portion of these Terms or the other applicable Goldshell Policies, any representation, warranty, or agreement referenced in these Terms or the other applicable Goldshell Policies, or any applicable law or regulation; (c) your violation of any third-party rights, including any intellectual property right or publicity, confidentiality, other property, or privacy, right; or (d) any dispute or issue between you and any third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in that case, you agree to cooperate with our defense of that claim.
Discontinuance of Services
We may, in our sole discretion , with or without prior notice, and at any time, modify or discontinue, temporarily or permanently, any portion of the Goldshell Wallet. YOU ARE SOLELY RESPONSIBLE FOR STORING OUTSIDE OF THE GOLDSHELL WALLET A BACKUP OF THE RECOVERY PHRASE AND PASSPHRASE OF YOUR WALLET. Maintaining an external backup of the recovery phrase and passphrase associated with your wallet will allow you to access the cryptocurrencies upon which your wallet is secured. Such a backup will allow the user to fully restore their wallet at any time without cost or loss of the user’s cryptocurrencies. If you do not maintain a backup of the recovery phrase or passphrase outside of the Goldshell Wallet, you will not be able to access the cryptocurrencies associated with your wallet. We shall not be held responsible or liable for any loss of cryptocurrencies in the event that we discontinue or depreciate the Goldshell Wallet.
For the avoidance of doubt, Goldshell shall not be liable for any loss of revenue, loss of actual or anticipated profits, loss of contracts, loss of the use of money, loss of anticipated savings, loss of business, loss of opportunity, loss of goodwill, loss of reputation ,loss of, damage to or corruption of data or any indirect or consequential loss in each case howsoever arising, whether such loss or damage was foreseeable or in the contemplation of the parties and whether arising in or caused by breach of contract, tort (including negligence), breach of statutory duty or otherwise, arising from the modification or discontinuance of the Goldshell Wallet or the suspension or termination of your access and use of the Goldshell Wallet, regardless of whether you have maintained appropriate backup.
Governing Law and Dispute Resolution
The Terms shall be governed by and construed in accordance with the Singapore law. In the event of any dispute or claim arising out of or in connection with these Terms or its validity, interpretation and performance, the parties shall first attempt to settle such dispute or claim by friendly negotiation. The Singapore courts shall have exclusive jurisdiction in relation to any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity or termination. For these purposes, you irrevocably submit to the jurisdiction of the Singapore courts and waive any objection to the exercise of that jurisdiction.
Modification of these Terms
Goldshell reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms at any time. Once any changes to these Terms occur, Goldshell will post the latest Terms on the Website or Goldshell Wallet App, which will take immediate effect without further individual notice to you or any user. It is your responsibility to check these Terms periodically for changes. If you do not agree with the modifications made by Goldshell, you shall immediately stop using the Goldshell Wallet. If you continue to use the Goldshell Wallet, it will be deemed that you accept the changes made to these Terms and agree to comply with the modified Terms.
