BY ACCESSING, USING OR ATTEMPTING TO ACCESS OR USE THIS WEBSITE OR APPLICATION (“APP”) OR THE SERVICES (AS DEFINED BELOW) IN ANY CAPACITY, YOU ARE DEEMED TO HAVE ACKNOWLEDGED AND AGREED TO BE BOUND BY THE TERMS OF THIS USER AGREEMENT; IF YOU DO NOT AGREE, DO NOT USE THIS WEBSITE OR APP OR USE THE SERVICES.

This Goldshell User Agreement (hereinafter referred to as the “User Agreement”) is between you (or “User”, referring to any individual or entity registering, logging in, using, or browsing our Services) and Goldshell Company as well as its affiliates (collectively referred to as “Goldshell” or “us/we”), regarding the use of Goldshell website (www.goldshell.com) and GoldshellZone App (collectively referred to as the “Website” or “this Website” or “our Website” or “Goldshell Website”), and the products and services made available on the Website ( collectively referred to as the “Services” or “Goldshell Services” or “our Services”).

The owner and operator of Goldshell Website refers to the legal entities operating the Goldshell Website. Goldshell may undergo changes or additions based on the Website business. You can contact our customer service to determine the Goldshell entity with which you have contractual obligations.

Unless otherwise explicitly stated in writing, Goldshell does not make any form of express or implied statements or warranties (except as otherwise provided by applicable laws ) regarding the operation of this Website and the information, content, materials, products (including software), or Services made available on this Website.

By using our Services, you have acknowledged and agreed that: (1) you have complied with all the applicable laws and regulations in the applicable jurisdiction (including any Sanction Laws, as defined below) and; (2)you have read and agreed to this User Agreement.

To the extent permissible by law, Goldshell reserves the right, at its sole discretion, to change, modify, add or remove portions of this User Agreement, at any time without having to notify you. Every time you wish to use our Website, please check this User Agreement to ensure you understand the terms that apply at that time. Your continued use of this Website following such changes will mean that you accept and agree to the changes.

In addition to complying with the User Agreement, additional service terms may apply. For example, when placing an order, you also will be subject to the Order Terms, the After-Sales Terms and other terms and conditions. If the User Agreement is inconsistent with these service terms, those service terms will prevail.

Service Notices

(1) This Website utilizes its own developed operating system to provide users with services such as purchasing goods through the international internet. When using this Website, you must:

Provide the necessary equipment for internet access, including personal mobile phones, tablets, modems, routers, etc.
Bear the personal expenses related to internet access, such as telephone charges and network fees.
Choose a software version compatible with the installed terminal device, including but not limited to various application versions released by Goldshell, such as iOS, Android, Windows, etc.

(2) Obtaining and updating mobile client software:

You can directly obtain Goldshell mobile client software from Goldshell Website or from third parties authorized by Goldshell. If you obtain software from unauthorized third parties or install programs with the same name as Goldshell mobile client software, Goldshell cannot guarantee the proper functioning of such software and shall not be held responsible for any losses caused by it.
In order to improve user experience and enhance service content, Goldshell will continuously develop new services and provide software updates from time to time. After the new version is released, the old version of the Website may become unusable. Goldshell does not guarantee the continued availability of the old version software and its corresponding customer service. Please check and download the latest version at any time.

(3) Scope of the Website Authorization

Goldshell grants you a personal, non-transferable, non-sublicensable, and non-exclusive license for the Website.
You can install, use, display, and run the Website on a single mobile terminal device for non-commercial purposes.However, the user shall not install, use, or run this Website for commercial purposes, and shall not copy, alter, modify, mount, or create any derivative works, including but not limited to the use of plug-ins, add-ons, or unauthorized third-party tools/services to access the Website and related systems.If commercial sales, reproduction, or distribution are required, such as software pre-installation and bundling, written authorization and permission must be obtained from Goldshell .
You shall not install the Website on terminal devices other than those expressly authorized by Goldshell, unless authorized to do so by Goldshell.
You may make one copy of the Website for the purpose of using the Website and the Services, for backup purposes only.The backup copy must contain all copyright information contained in the original software.
Except as expressly authorized in this User Agreement, Goldshell does not authorize other rights to users; users must obtain the written consent of Goldshell to use other rights.

Content

All text, graphics, user interfaces, visual interfaces, patterns, charts, photographs, trademarks, logos, sounds, music, videos, animations, artwork and computer code (collectively, “Content”), including but not limited to the design, structure, selection, coordination, expression, “look and feel” and arrangement of such Content, contained on this Website is owned, controlled or licensed by or to Goldshell, and is protected by trade dress, copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws

Except as expressly provided in the User Agreement, no part of this Website and no Content (including but not limited to the content or the advertisements or sponsored content) may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, downloaded, published, changed, merged, decom-posed, pasted, decompiled or distributed in any way (including “mirroring”) to any other computer, server, website or other medium for publication or distribution or for any commercial purpose, without Goldshell’s express prior written consent.

You may use information of Goldshell Services purposely made available by Goldshell for downloading from this Website, provided that you (1)use such information sorely for your personal, non-commercial informational purpose and do not sell, lease, transfer, release, copy or post such information on any networked computer or broadcast it in any media, (2) make no modifications to any such information, (3) not make any additional representations or warranties relating to such information or documents containing such information, and (4) not remove any proprietary notice language in all copies of such documents; 5)not use the Services to establish similar or competitive services with Goldshell.

You can upload, release, or participate in activities through Goldshell Website and Goldshell Services. User Content refers to all content (your information, pictures, music, or other content) downloaded, released, or otherwise generated through the Website and the Services. Once the User Content generated, you automatically grant Goldshell an irrevocable, non-exclusive, transferable, and royalty-free global license to:

Provide you with Goldshell Services or for the purposes of improving the Services through our use of your User Content . We may also copy, publish, display, make derivative works and/or incorporate into other works, or use your user account (except for your personal information) in other ways; and you authorize us the transferrable permission for the preceding subject matter;
Copy and publish your content and personal information only to designated receiver;
You agree that you irrevocably waive any and all ownership, legal and moral rights to your User Content.

Usage Standards

You must be of sufficient legal age and capacity to use this Website. Goldshell does not allow minors to use or purchase any Goldshell Services. Minors are strictly prohibited from using and operating Goldshell Services, and Goldshell shall not be liable for any losses caused by your improper management, storage, and placement of Goldshell products

You can use the Website and the Services in accordance with this User Agreement so long as they abide by the law and this User Agreement, and you shall not perform the following acts:

Deleting copyright information on this Website and other copies, and modifying, deleting, or avoiding technical measures established by this Website to protect intellectual property rights.
Reverse engineering the Website by disassembling, decompiling, or otherwise trying to obtain the source code of the Website.
Modifying or falsifying the instructions and data in the operation of the Website, adding, deleting, changing the functions or operating effects of the Website, operating the Website and methods used for the above-mentioned purposes, or disseminating such to the public, regardless of whether these acts are for commercial purposes.
Using the Website for any behaviors that endanger network security, including but not limited to: using unlicensed data or entering unlicensed servers/accounts; accessing public networks or other people’s operating systems without permission and deleting or modifying them, or adding stored information; attempting to probe, scan, or test the weaknesses of the Website’s system, network without permission, or other behaviors that damage network security; attempting to interfere with or destroy the normal operation of the Website, intentionally spreading malicious programs or viruses, and other acts that disrupt and interfere with normal network information services; forging TCP/IP packet names or partial names.
Logging into or using the Website and services through third-party compatible software or systems not developed, authorized, or recognized by Goldshell, or creating, publishing, or disseminating the above tools.
Carrying out actions with regards to the Website and its information without the written consent of Goldshell that include but are not limited to the following: using, renting, lending, copying, modifying, linking, reprinting, compiling, promulgating, publishing, establishing mirror sites, or developing derivative products, works, services, plug-ins, add-ons, compatibilities, interconnections, etc., with the help of the Website without authorization.
Using any form of device, program, or algorithm to access, obtain, copy, or monitor any part of this Website or its Content. Additionally, by any method not provided by this Website to visit, obtain, or copy any materials, documents, or information on this Website
Attempting to illegally access, decode, or use any other illegal methods to gain unauthorized access to this Website, its Content, or the Services. Attempting to trace, reverse lookup, decrypt, or decode any customer information on this Website, including but not limited to the ID’s of users other than yourself,to its source, or exploit this Website or any service or information made available or offered by or through this Website, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by this Website.

You are responsible for making all arrangements necessary for you to have access to the Website and its Services. You are also responsible for ensuring that all persons who access the Website and its Services through your internet connection are aware of the terms of this User Agreement and Goldshell Privacy Policy as well as applicable law, and that they comply with them.

You shall also ensure that your access to the Website and use of the Services comply with all applicable export control, trade, economic and financial sanctions laws, regulations, embargoes, and restrictive measures (in each case having the force of law) administered, enacted or enforced from time to time by (1) the United States (including without limitation by the United States Office of Foreign Assets Control (“OFAC“), the US Department of State or the US Department of the Treasury); (2) the European Union and enforced by its member states; (3) the United Nations Security Council; (4) United Kingdom (including without limitation Her Majesty’s Treasury); (5) Singapore (including without limitation the United Nations Act 2001 of Singapore and the Terrorism (Suppression of Financing) Act 2002 of Singapore) or (6) other relevant sanctions authority (“Sanction Laws”).

Without limiting the foregoing, you may not have access to the Website or Services if:

(a) you or your subsidiaries/affiliates are owned or controlled, whether directly or indirectly, by a person that is (1) the subject of Sanction Laws or listed in any

Sanctions Laws-related list of designated persons (including without limitation, the designation as a “specially designated national or blocked person”

thereunder and including without limitation the Specially Designated Nationals (SDN) and Blocked Persons List administered by OFAC, the List of Denied Parties

and Unverified List and the Entity List administered by the United States Department of Commerce); (2) ordinarily resident in, located in, or organized under the

laws of a country or territory that has, or whose government, been the subject of country- or territory-wide Sanction Laws (including without limitation Cuba, Iran,

North Korea, Sudan, Syria, Crimea, the so-called Donetsk People’s Republic and Luhansk People’s Republic regions of Ukraine and the Russian-controlled Kherson

and Zaporizhzhia regions of Ukraine); or (3) majority-owned or controlled by any of the foregoing (collectively, a “Sanctioned Party”);

(b) any of your directors, officers, agents or employees (or any of the directors, officers, agents or employees of your subsidiary/affiliate) is a Sanctioned Party;

(c) you or your subsidiary/affiliates allow or facilitate or intend to allow or facilitate any Sanctioned Party to access the Website or use the Services; or

(d) you or your subsidiary/affiliates have engaged in or are engaged in any dealings or transactions with any Sanctioned Party.

You further undertake that your access to the Website and use of the Services will not in any way be used to support, facilitate, operate, install, maintain, repair, overhaul, develop, or produce products or services related to military purposes. You also undertake that you or your subsidiary/affiliates will not allow or facilitate access to the Website and use of the Services by any (i) military persons or personnel, including the armed forces, navy, coast guard, air force, national guard, police force, government intelligence or reconnaissance organizations of any country, state or territory or (ii) any persons affiliated with such military persons or personnel.

In the event that your access to the Website and use of the Services do not comply with any Sanction Laws or other trade-control related laws that are applicable (including the provisions in the paragraph immediately above) or you or any other person that you allow to access the Website or use the Services becomes a Sanctioned Party, Goldshell reserves the right to immediately, and without prior notice, suspend or terminate your access to the Website and use of the Services, remove your access to the Website or take other restrictive measures at its sole discretion, until you are in compliance with such Sanction Laws or other trade-control related laws (such as by obtaining the necessary certificates or permits). Goldshell does not assume any responsibility and shall not be required to provide any compensation for such suspension, interruption or termination. You agree to indemnify and hold Goldshell, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), suffered by or made against Goldshell by any third party due to or arising out of or in connection with your non-compliance with any Sanction Laws or other trade-control related laws that are applicable (including the provisions in the paragraph immediately above).

You shall ensure you own the intellectual property rights to upload the Information content you publish using this Website, or that you have been legally authorized, and that your use of this Website and the Services does not infringe on the legitimate rights and interests of any third party.

You shall not use this Website to engage in the following behaviors, including but not limited to:

Posting any material promoting or advertising any other services or or containing web links to other websites
Promoting any illegal activity.
Impersonating any person, or misrepresenting your identity or affiliation with any person.
Engaging in other acts that violate applicable laws and regulations (including any Sanction Laws).

You are not allowed to conduct any commercial activities, such as publishing advertisements and selling goods in this Website, without Goldshell’s authorization.

You shall understand and agree that:

Goldshell will at its sole discretion determine whether you are violating the above-mentioned use specifications, and reserves the right to suspend or terminate the Services or your license, remove your access to the Website or take other restrictive measures .
Goldshell reserves the right to delete information that is suspected of being in violation of the law or this User Agreement, or of infringing the legal rights of others.
If your violation of the above use specifications causes damages to a third party, you shall be solely liable in your own name, and shall indemnify Goldshell against any losses, damages and/or expenses that it may incur as a result of the violation, including reasonable attorney fees and fees for investigation and evidence collection.
If you violate any applicable laws, regulations or agreements (including any Sanction Laws), you shall compensate and indemnify Goldshell against any losses, damages and/or expenses that it may incur as a result of the violation, including reasonable attorney fees and fees for investigation and evidence collection.

Account, Password and Security

You may visit the Website without registration. You may need to register a Goldshell ID or log in to your Goldshell ID (referred to as the “account” or “Goldshell account”) to access certain functions or services on this Website. The right to use your Goldshell account belongs solely to you, and you may not borrow, rent, transfer, give or sell Goldshell account. Goldshell has the right to retrieve any Goldshell account due to operational needs. By registering for a Goldshell account, you represent and warrant that you are a person who legally obtains Goldshell Services under the laws of your jurisdiction.

You shall take full responsibility for the authenticity, legality, accuracy and validity of your registration information and warrant and represent that all registration information submitted by you are true, complete and accurate; You shall also be responsible for updating any changes in your registration information to keep it up to date; You shall not post any information in the name of others; you shall not use registered accounts maliciously; otherwise, we reserve the right to suspend the Services, remove your access to the Website or other restrictive measures and you shall fully bear all legal liability and indemnify Goldshell against any losses, damages and/or expenses thereby incurred.

Goldshell cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

All your statements on the Website are public information that any third party has access to. Any statement posted on the Website will be deemed as public information, and user should bear legal liability for this action. If you do not want any third party to have access your statements, please do not post them on the Website.

Without the written consent of the owner, you cannot upload, publish, modify, transmit or reproduce any copyrighted material or trademark, or other proprietary information of others. You shall indemnify Goldshell against any losses, damages and/or expenses that it may incur as a result of such violation.

You acknowledge and agree that Goldshell may preserve any transmittal or communication by you with Goldshell through this Website or any service offered on or through this Website, and may also disclose such data if required to do so by law or Goldshell determines that such preservation or disclosure is reasonably necessary to (1) comply with legal process or applicable laws and regulations, (2) enforce the User Agreement, (3) respond to claims that any such data violates the rights of others, or (4) protect the rights, property or personal safety of Goldshell, its employees, users of or visitors to this Website, and the public.

You agree that Goldshell may, in its sole discretion and without prior notice, terminate your access to this Website and/or block your future access to this Website if we determine that you have violated the User Agreement or other agreements or guidelines which may be associated with your use of this Website. You also agree that any violation by you of the User Agreement will constitute an unlawful and unfair business practice, and will cause irreparable harm to Goldshell, for which monetary damages would be inadequate, and you consent to any injunctive or equitable relief that Goldshell deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies Goldshell may have at law or in equity. Goldshell also retain the right to take proper legal actions, including but not limited to removing any illegal or infringing content, suspending the qualification of violators and saving relative information and reporting to relevant authorities based on the applicable laws and regulations.

In addition, you agree that Goldshell may, in its sole discretion and without prior notice, terminate your access to this Website, for cause, which includes (but is not limited to) (1) requests by law enforcement or other government agencies or if required by applicable laws and regulations (including any Sanction Laws), (2) a request by you (self-initiated account deletions), (3) discontinuance or material modification of this Website or any service offered on or through this Website, or (4) unexpected technical issues or problems.

If Goldshell does take any legal action against you as a result of your violation of the User Agreement, Goldshell will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to Goldshell. You agree that Goldshell will not be liable to you or to any third party for termination of your access to this Website as a result of any violation of the User Agreement.

Third Party Services

You understand and agree that this Website may include services provided by third parties. Goldshell only provides relevant functional modules in the system for the convenience of you and provides access to third-party services.

Regardless of whether the third-party service is pre-installed in the Website, or is activated or purchased by you, you understand and agree that Goldshell does not make any express or implied warranties or guarantees regarding the legality, effectiveness, accuracy, or security of third-party service providers or the user’s actions.

Goldshell does not supervise third-party services, does not have any control over them, and does not provide any form of warranty or guarantee for third-party services, and does not bear any responsibility.

All disputes and disagreements between you and third-party service providers will be resolved by you and the party in accordance with the business processes and specifications of the third-party service provider, and Goldshell does not bear any responsibility.

Goldshell Website and Goldshell Services include content provided by other users; interactions between you and other users are solely between you and other users. Goldshell does not control such User Content and assumes no legal responsibility, nor does it have the obligation to review, monitor, inspect, and approve such User Content. Therefore, you assume the legal responsibility for the risk of such interactions.

Goldshell provides service support using current technology. Goldshell does not guarantee that the operation of this Website will be uninterrupted or error-free, that all defects will be corrected, or that it will meet all user requirements. Goldshell does not bear any responsibility for the consequences arising therefrom.
